1. Acceptance of Terms

By using Batender, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use Batender.

2. Eligibility

To use Batender, you must be an existing bar or hotel owner and at least 18 years of age, capable of forming a binding contract. By using the application, you represent and warrant that you meet these eligibility requirements.

3. Registration and Account Security

• Registration: To access certain features of Batender, you must create an account. You agree to provide accurate and complete information during the registration process and to keep your account information up to date.
• Account Security: You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Services Provided

Batender offers a range of bar management features, including order management, menu management, table management, staff and shift management, financial insights, and customer management. We reserve the right to modify or discontinue any feature at any time without notice.

5. Payment and Billing

• Service Fees: Access to certain features of Batender may require payment of service fees. All fees are payable in Nigerian Naira (NGN) and are non-refundable unless otherwise stated.
• Payment Processing: Payments are processed securely through Paystack. By using our paid services, you agree to Paystack’s terms and conditions. We do not store your payment information.
• Late Payments: If you fail to make timely payments, we may suspend or terminate your access to the paid features of Batender.

6. Use of Batender

• Permitted Use: You may use Batender for lawful purposes and in accordance with these Terms. You agree not to use Batender in any way that could damage, disable, or impair the application or interfere with other users' access to Batender.
• Prohibited Conduct: You agree not to engage in any of the following activities:
  • Misrepresenting your identity or affiliation with any person or entity.
  • Using Batender for fraudulent or illegal activities.
  • Attempting to gain unauthorized access to any part of Batender or its systems.

7. Data and Privacy

Your use of Batender is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using Batender, you consent to the collection and use of your information as described in our Privacy Policy.

8. Intellectual Property

• Ownership: All content, features, and functionality of Batender, including software, text, graphics, logos, and trademarks, are the property of Batender or its licensors and are protected by Nigerian copyright and trademark laws.
• Limited License: You are granted a limited, non-exclusive, non-transferable license to use Batender for your business operations. You may not modify, distribute, or create derivative works based on Batender without our prior written consent.

9. Termination

• Termination by You: You may terminate your account at any time by contacting us. Upon termination, you will no longer have access to Batender.
• Termination by Us: We reserve the right to terminate or suspend your account at our discretion, with or without notice, for any reason, including breach of these Terms.
• Effect of Termination: Upon termination, all rights and licenses granted to you under these Terms will cease, and you must immediately cease all use of Batender.

10. Limitation of Liability

To the maximum extent permitted by Nigerian law, Batender and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of or inability to use Batender.

11. Indemnification

You agree to indemnify and hold Batender, its affiliates, officers, and employees harmless from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to your use of Batender or your violation of these Terms.

12. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
• Dispute Resolution: Any disputes arising out of or relating to these Terms or your use of Batender shall be resolved through negotiation. If the dispute cannot be resolved amicably, it shall be submitted to the court of law.

13. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice on our website. Your continued use of Batender after such changes will constitute your acceptance of the revised Terms.
